GEMMIT is a platform for financial market discussion only. Nothing on this platform constitutes investment advice, a solicitation, or an offer to buy or sell any security. By using GEMMIT you agree to these terms in full.

1. Acceptance of Terms

By accessing or using GEMMIT ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform. GEMMIT reserves the right to modify these terms at any time. Continued use of the Platform constitutes acceptance of any changes.

2. Eligibility

GEMMIT is an invite-only platform intended for finance professionals and sophisticated investors. By registering, you confirm that:

You are at least 18 years of age.
You have been approved by GEMMIT to access the Platform.
You are accessing the Platform in a jurisdiction where doing so is lawful.
You are a finance professional, institutional investor, or sophisticated investor capable of independently evaluating financial information.

3. No Investment Advice

All content on GEMMIT — including posts, discussions, research, bond analytics, and any other material — is provided for informational and discussion purposes only. Nothing on the Platform should be construed as:

Investment advice or a recommendation to buy, sell, or hold any security.
Legal, tax, accounting, or regulatory advice.
A solicitation or offer to transact in any financial instrument.

You are solely responsible for your own investment decisions. Always conduct your own due diligence and consult qualified advisors before making any investment.

4. User Conduct

You agree not to use the Platform to:

Post material that is false, misleading, defamatory, or intended to manipulate markets.
Share material non-public information (MNPI) or engage in any conduct that violates securities laws.
Harass, threaten, or abuse other users.
Violate any applicable law or regulation.
Attempt to gain unauthorized access to any part of the Platform or its infrastructure.
Scrape, copy, or redistribute Platform content without prior written consent.

5. Content Ownership & License

You retain ownership of content you post on GEMMIT. By posting, you grant GEMMIT a non-exclusive, royalty-free, worldwide license to display and distribute your content within the Platform. GEMMIT does not claim ownership of user-generated content.

GEMMIT's own platform content, data, design, and code remain the exclusive property of GEMMIT.

6. Anonymity & Disclosure

GEMMIT permits optional anonymity. However, anonymity does not exempt users from compliance with applicable laws, including securities regulations. You remain legally responsible for all content you post, regardless of whether you post under your real name or a pseudonym.

7. Account Suspension & Termination

GEMMIT reserves the right to suspend or terminate any account at any time, with or without notice, for any reason including but not limited to violation of these Terms. Decisions regarding account termination are at the sole discretion of GEMMIT.

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranty of any kind, express or implied. GEMMIT does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. Market data and analytics are provided without guarantee of accuracy or timeliness.

9. Limitation of Liability

To the maximum extent permitted by law, GEMMIT and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including any losses arising from reliance on content posted by users.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes shall be resolved in the jurisdiction chosen by GEMMIT at its sole discretion.
